Ownership
Ownership of all goods supplied to you or your client by us remain the property of The Odd Chair Company Limited until we have received in full cash or cleared funds all sums due in respect of the goods.  We shall be entitled to recover payment for the goods not withstanding that ownership of any of the goods has not passed from us.  You grant to us, our agents and employees an irrevocable licence at any time to enter premises where the goods are or may be stored in order to inspect them or, where your right to possession has terminated, to recover them.

Quotations
Our quotations are valid for 30 days from the date shown, unless otherwise specified.  Please do check through your quote to make sure all the details are correct before proceeding to order.  Any details that you provide which are not correct at time of order and which we rely on to make your furniture will be at your risk and may incur additional charges.

Payment
Handmade furniture orders require a non-refundable 50% deposit on signature of the Order Confirmation and the outstanding balance is due upon completion of your order and prior to the goods leaving our premises for delivery to you or your client.  However, where the total sales order value is £2000.00 or less then the full balance is required on placing the order.

Antique furniture orders require full payment on signature of the Order Confirmation.

Soft furnishings require a 70% deposit on signature of the Order Confirmation and the outstanding balance is due upon the date of completion and installation of the order, save that any delay on your part with regards installation of more than 2 weeks, the full balance shall be payable upon completion of the goods.

Delivery
We will always inform you of our current lead time for your order and organise prompt delivery upon completion of your order.  Any delivery date given is not guaranteed (unless mutually agreed in writing) and we cannot be responsible for any loss, costs, damages or expenses that may result either directly or indirectly as a result of any delay in delivery of the goods nor will any delay entitle you to terminate or rescind the order.

Delivery is to the ground floor of the address you provide to us.  If your delivery address is above ground floor or a complex delivery you must notify us prior to us quoting as this may affect our standard delivery charge on your quote or order  Please consider this prior to confirming your Order and provide us with any specific delivery instructions, such as restricted access or stairs, as this may incur a delivery surcharge.

If you wish to separate an order please note that additional delivery charges will be incurred.

Delay
You may postpone delivery of all or part of your order provided that you pay the outstanding balance due and agree to pay any additional delivery costs that may arise as a consequence of your postponement or part delivery.

We will store your order for a maximum of 2 weeks free of charge, thereafter, at our discretion, we reserve the right to charge a nominal storage fee.

In the event of a third party fabric chosen by you but to be supplied by us being placed on back order, discontinued or delayed for any reason, we cannot be held responsible for any such delay, nor does such delay in receiving the fabric entitle you to terminate or rescind the order.  Whilst we always try and source a stocked fabric prior to order, where a fabric is discontinued after your order has been placed, we shall source an alternative fabric for you.

Late Payment
If payment is not made on the due date the balance outstanding shall be deemed overdue and we shall, without prejudice to any other rights, be entitled to charge interest on the overdue debt at 2% above the base lending rate of The National Westminster Bank PLC (from time to time in place) per calendar month or part thereof from the due date to the date of payment (whether before of after judgement).

Liability
Subject to Customer’s supplying their own fabric (see below), all goods and/or services made and supplied by us are conditional upon our liability for any fault with the goods and/or services being limited in amount to a sum not exceeding the purchase price of the goods and/or services.  We reserve the right to repair or replace any goods and/or undertake further work to correct any service which we believe is not satisfactory.  We will not be held responsible for defects or suitability of fabrics not supplied by us.

Guarantee
Save for ordinary wear and tear, we provide a 40 year construction guarantee on all our solid wood frames.  Your statutory rights are not affected.

Traditional Upholstery
Given the nature of traditional loose hair upholstery, all dimensions provided are approximate and it is usual for goods to vary slightly from those dimensions published in our literature.

Dimensions
We reserve the right to amend prices, dimensions and descriptions, save where there is express agreement between us in relation to them.  In all cases, we will use our best endeavours to bring any change to your attention that may affect your order.

Fabric, Natural Hides and Woods
It is common for colour variations to occur between different batches of the same fabric, we will endeavour to send you a stock cutting for your approval, but we cannot be held responsible for any colour variation in the fabric once you have confirmed your fabric choice following receipt of a stock sample.

All natural hides have their own individual flaws, marks and variations and whilst we exercise the utmost care in applying such coverings, we cannot be responsible for such flaws, marks and variations.   Given that wood is a natural product, knots and grain variations do occur within the wood and are unavoidable.

Customer’s Own Fabric
Where you provide your own fabric, we are not responsible for defects in the fabric nor determining its suitability for re-upholstery.  It is your responsibility to ensure that the correct fabric is sent to our Lancashire workshops quoting our reference for your order.

Schedule 3 Interliner
Where a fabric is non-fire retardant we are required by law to apply a barrier cloth.  You will be notified of the cost of applying an interliner / barrier cloth.
